1.1 What is CodeMatch

CodeMatch provides a non-exclusive license to access software features for talent discovery and AI-assisted matching. The service is intended solely for companies for professional purposes.

1.2 Pricing Model

The license price is calculated in proportion to the expected gross annual salary for the role. The fee is due when the search is launched.

Credit Refund Guarantee

If you hire no candidate through the platform within the agreed period, you will receive license credits of equal value for new searches.

2. FEATURES AND ARTIFICIAL INTELLIGENCE

2.1 What the Platform Offers

Index public profiles or those provided by candidates
Advanced search and filtering
AI-generated match suggestions
Tools for contacting and managing candidates

2.2 Role of AI: Assistance Only

AI outputs are purely assistive and do not constitute professional recommendations or binding automated decisions.

3. WHAT CODEMATCH DOESN'T DO

Service Limitations

❌We do not propose or submit candidates at our own discretion
❌We do not pre-screen or interview on your behalf
❌We do not negotiate financial or contractual terms
❌We do not receive success fees tied to hiring
❌We do not carry out activities reserved for licensed agencies

4. DATA PROCESSING AND PRIVACY

Company Data (B2B)

For data you upload: you are the Controller, we act as the Processor under Article 28 GDPR.

Candidate Profiles

For profiles created directly by candidates, CodeMatch is the Controller for the platform's technical management.

You must have a proper legal basis to upload third-party data
Uploading special categories of irrelevant data is prohibited
Transfers outside the EU require adequate safeguards
Full compliance with the GDPR and privacy regulations

5. COMPLIANCE AND LIABILITY

5.1 Non-Discrimination

You agree to use the platform in compliance with labour, equal treatment, and non-discrimination laws. You are the sole responsible party for job description content and selection criteria.

5.2 Algorithmic Transparency & AI Act

We provide details on training data, limitations, and factors considered by the AI. As a user of AI systems in an employment context, you must implement human oversight measures.

6. FEES AND BILLING

6.1 Payment Terms

Fee calculated based on the target gross annual salary for the role
Advance payment upon launching the search
Fee due for the software license, not contingent on hiring
All amounts are exclusive of VAT and applicable taxes

7. LIMITATIONS AND LIABILITY

7.1 "As Is" Service

The service is provided "as is." We do not guarantee specific results (number of applications or hires) or that AI outputs will be error-free.

7.2 Limitation of Liability

Except in cases of willful misconduct or gross negligence, our liability is limited to the amount paid in the previous 12 months. Indirect damages and lost profits are excluded.

8. FINAL PROVISIONS

8.1 Term and Renewal

The agreement renews automatically unless terminated with 30 days' notice before expiry.

8.2 Changes

We may amend these terms for technical or legal reasons. Changes will be communicated in advance.

8.3 Governing Law

This agreement is governed by Italian law. The Courts of Milan shall have jurisdiction over any dispute.
