5% of Gross Salary - Lifetime Lock

Premium 5% commission locked for life for the first 10 admitted Advisors. Minimum bounty €3,000 for roles with gross salary > €60,000.

Senior+ Only (Salary > €60k)

Exclusive focus on senior profiles with gross salary above €60,000, 5+ years' experience and advanced technical skills.

6-Month Protection Period

Each valid referral is protected for 6 months. If the hiring occurs within this period, the bounty is guaranteed.

Payment in 30 Days

Payment guaranteed within 30 days after the hired candidate passes the probation period.

1. PURPOSE, NATURE AND FRAMEWORK

1.1 Purpose of the Program

This document governs the terms of the Advisor Program (the "Program"), through which CodeMatch grants a reward ("bounty") to the Advisor who refers a suitable Candidate who, following the referral, is hired by a Company within the 6-month Protection Period.

1.2 Nature of the Relationship (B2B)

The Program is intended solely for entities acting for professional purposes (B2B). It creates no employment relationship, agency or permanent mandate with representation; the Advisor acts as an independent professional/occasional intermediary.

1.3 Independence of Conditions

These conditions are independent of the terms directed to Clients/Companies of the matching service and prevail, for the Program, over any general information published on the site.

2. DEFINITIONS

Advisor:
The professional enrolled in the Program who submits a Referral.
Candidate:
Individual with a senior professional background in the tech field.
Company:
The entity (CodeMatch client) that evaluates/hires the Candidate.
Referral:
Sending to CodeMatch the Candidate's contact details for a specific role.
Hiring:
Execution of a full-time or part-time employment contract, or conversion into an ongoing collaboration of a similar nature.
Protection Period:
Period of six (6) months from the first valid Referral of the Candidate for that role/company.
Gross Annual Salary (GAS):
Gross annual salary (excluding non-guaranteed variable bonuses, stock/equity and fringe benefits unless otherwise agreed in writing).

3. PROGRAM ENROLLMENT AND ACCEPTANCE

3.1 Enrollment Method

Enrollment occurs via the "Become an Advisor" form on the site. CodeMatch sends confirmation via email and subsequent communications on opportunities only for senior positions with GAS > €60,000. Acceptance of these conditions occurs upon confirmation of enrollment.

3.2 Right to Refuse

CodeMatch may refuse or terminate enrollment in case of profile inconsistencies, violations or improper use of the Program.

4. ADVISOR ROLE AND PERMITTED CONDUCT

4.1 Representation Limits

The Advisor does not represent CodeMatch nor is authorized to conclude contracts or make commitments on behalf of CodeMatch or the Companies.

4.2 Advisor Obligations

  • Refer only senior candidates aligned with the role
  • Refrain from spam and mass communications
  • Respect professional ethics
  • Ensure non-discrimination

4.3 Specific Prohibitions

  • Self-applications are not allowed
  • Referrals of direct reports/colleagues with conflicts of interest are prohibited
  • Circumventing CodeMatch by contacting the Company directly is prohibited
  • Negotiating the bounty directly is prohibited

5. DATA PROTECTION AND CANDIDATE CONSENT

5.1 Consent Requirement (GDPR)

Before submitting a Referral, the Advisor guarantees to have obtained from the Candidate informed and documented consent for sharing professional contact data with CodeMatch and interest in being contacted for job opportunities, or to have another adequate legal basis under GDPR (art. 6).

5.2 Data Processing

At the first contact, CodeMatch will provide the Candidate with the privacy notice as data controller. The Advisor will not submit special categories of data (art. 9 GDPR).

5.3 Indemnity

The Advisor indemnifies CodeMatch from claims arising from Referrals made without an adequate legal basis or in violation of the Candidate's GDPR/privacy rights.

6. VALIDITY OF THE REFERRAL AND ATTRIBUTION

6.1 Validity Requirements

A Referral is valid if it includes at least: name, contact information and, where possible, a professional link (e.g., LinkedIn/GitHub) related to the role indicated by CodeMatch.

6.2 Attribution (First Referral)

For the same Candidate and Company/role, the bounty is owed to the Advisor whose Referral was first received by CodeMatch and deemed valid.

6.3 Exclusions

The bounty is not due if, on the date of the Referral:

  • The Candidate was already active in the process with CodeMatch
  • They had been presented to the same Company by other parties in the previous 6 months
  • They had self-applied in the previous 6 months

6.4 Protection Period

The Protection Period of the Referral is 6 months from the date of receipt. If the Hiring occurs within this period, the bounty is guaranteed in accordance with articles 7-8.

7. BOUNTY AND ECONOMIC CRITERIA

7.1 Bounty Determination

The bounty is communicated case by case in communications relating to the position. For the first 10 admitted Advisors, the 5% rate is locked for life for qualified positions. Any caps or special conditions are specified in the role communication.

7.2 Calculation Basis

The GAS considered is the fixed gross annual salary agreed in the Hiring contract (excluding variable bonuses, MBO, stock/equity and benefits in kind, unless otherwise agreed in writing). For part-time, the pro rata applies; for collaborations/project contracts, the bounty is calculated on the annualized value of the fixed compensation.

7.3 Condition for Payment

The bounty accrues when the Hiring is finalized and becomes payable after 30 calendar days from the Candidate's start date.

7.4 Substitutions/Changes

If within 6 months the Hiring is converted between comparable contract types or the fixed GAS is renegotiated, the bounty remains due on the GAS set in the first contract.

7.5 Taxes and Invoicing

The Advisor is responsible for their own tax and social security obligations. CodeMatch may request KYC documents and apply withholdings where required by law. Where the Advisor is VAT-registered, they will issue an invoice to CodeMatch; otherwise, CodeMatch may request appropriate receipts for accounting purposes.

8. PAYMENT

8.1 Methods and Timing

The bounty is paid via bank transfer or other systems indicated by CodeMatch, within 30 days from accrual and due date (art. 7.3) and from receipt of the correct invoice/receipt.

8.2 Suspension/Reduction Conditions

  • Resignation within 30 days: payment suspended and not due
  • Resignation between 30-90 days: bounty reduced to 50%
  • After 90 days: bounty due at 100%

Unless otherwise stated in the specific role communication.

9. DUTY OF FAIRNESS, ANTI-SPAM AND COMPLIANCE

9.1 Advisor Commitments

  • Do not send unsolicited mass communications
  • Do not share irrelevant or highly sensitive data
  • Do not engage in deceptive or disparaging conduct
  • Respect anti-corruption and fair competition rules
  • Guarantee equal opportunities and non-discrimination

9.2 Anti-Fraud Checks

CodeMatch reserves the right to conduct anti-fraud checks (including minimal evidence such as referral timestamps, audit logs, requests for proof of consent).

10. CONFIDENTIALITY

10.1 Confidentiality Obligation

Information on roles, processes and Companies received by the Advisor is confidential and may be used only for Program purposes. Disclosure to third parties without CodeMatch's written consent is prohibited.

11. TERM, SUSPENSION AND WITHDRAWAL

11.1 Term

The Program is open-ended. CodeMatch may modify or terminate it with 7 days' notice via email/notice on the site.

11.2 Non-Retroactive Changes

Changes do not retroactively affect bounties already accrued pursuant to articles 6-8.

11.3 Withdrawal

Each party may withdraw at any time; amounts accrued before withdrawal remain due.

12. INTELLECTUAL PROPERTY AND BRAND USE

Use of CodeMatch trademarks, logos or materials without written authorization is prohibited. All intellectual property rights remain with CodeMatch.

13. LIMITATION OF LIABILITY

13.1 Best-Effort Obligation

CodeMatch does not guarantee the Hiring of candidates or specific results; the obligation is one of means.

13.2 Liability Cap

Except in cases of willful misconduct or gross negligence, any liability toward the Advisor is limited to the amount of bounty accrued and not yet paid for the specific Referral.

14. GOVERNING LAW AND JURISDICTION

14.1 Governing Law

These conditions are governed by Italian law.

14.2 Jurisdiction

Any dispute is subject to the exclusive jurisdiction of the Court of Milan.

16. FINAL CLAUSES

16.1 Partial Invalidity

The nullity or ineffectiveness of one clause does not affect the validity of the remaining clauses.

16.2 Assignment

The Advisor may not assign the relationship without CodeMatch's written consent.

16.3 Entire Agreement

This document constitutes the entire agreement between the parties regarding the Program and prevails over prior communications, except for specific economic conditions communicated for each role (which form an integral part thereof).
